The TSC Ltd Board of Directors of TSC Ltd, in line with the Rules, give NOTICE of the 2nd Annual General Meeting of Timperley Sports Club Limited (TSC Ltd) to be held on Monday 19th July 2021 commencing at 7.30pm online via Zoom

The 2nd AGM of TSC Ltd will be held online (via Zoom) to allow as many members as possible to attend, mindful that even through the current Covid restrictions are due to be changed from 19th July 2021, this is still to be confirmed and some Members may continue to prefer to avoid indoor gathering.

The NOTICE of the meeting setting out the business of the meeting is set out below .

Members wishing to attend the meeting must register in advance using the TSC Ltd 2021 AGM REGISTRATION FORM by 09.00 on 19th July 2021. This ink can also be used to send apologies, submit questions and appoint a voting representative. A Zoom meeting invitation and instructions for the meeting will be sent to members once they have registered to attend. An AGM meeting pack will be send to Members providing details on each item of business and more information about how the meeting will work. If any Member has any concerns about how to join in with the online meeting please get in touch and we will endeavour to assist where possible.

We ask that all Members who would like to ask any questions - usually asked for a specific 'Business Item' or under ‘Any other Business’ -to submit these in advance using the TSC Ltd 2021 AGM Registration Form or email to the Secretary at info@timperley-sports.com.

We will try and address as many queries/questions raised as practically possible during the meeting and subject to time take a limited number of questions during the meeting.

In line with our Rules, we will also be conducting a ballot for TSC Ltd Directors elected from and by Members. Nominations are no open for member elected Directors and will close 09:00 on Friday 9th July 2021. An online election will be conducted prior to the AGM and a link to Ballot, Candidate details and how to Vote will be sent to eligible Members and the results announced at the AGM.

Timperley Sports Club Limited Rules

To attend you must please complete TSC Ltd 2021 AGM Registration Form by no later than 09:00 on 19th July 2021 and you will be emailed the link to join the meeting via Zoom. You can also use this form to send your apologies, submit questions in advance and if required appoint a voting representative.

Copies of the Accounts, Annual Report and other supporting papers will be emailed to Members. If you do not get an email, please check your 'Junk folder' and contact the Club and we will forward.

Timperley Sports Club Ltd Membership – eligibility to attend and vote at the AGM
We are in the process of moving all membership and subscription payment processes across to our new online Club Management System (CMS) supported by First Sports International (FSI). This change is being rolled out to each section and has been used for this season subscriptions and membership verification or new applications successfully by Cricket.

The following Members are eligible to attend and Vote at the AGM, and stand as a Director and Vote in the election of Directors:
- TSC Ltd Playing Members Aged 16+ and Non Playing Members (full voting) Aged 16+ and who have paid their annual subscription where applicable. See below due dates for payment of Subs**
- TSC Ltd Honorary Life Members and Life Non Playing Members (formerly TSC Life Socials)

The following Members are eligible to attend but do not have a vote and can not stand as Directors:
- TSC Ltd Associate Non Playing Members and who have paid their annual subscription where applicable. See below due dates for payment of Subs**
- TSC Ltd Associate Playing Members Under 16 and who have paid their annual subscription where applicable. See below due dates for payment of Subs**

**AGM attendance and Voting Eligibility - Subscriptions / Due Dates:

**Cricket and Non Playing Member subscriptions for 2021-22 must have been paid online via then new CMS by 16th July 2021 (deadline extended due to introduction on new on line membership system).

**Football, Hockey and Lacrosse - 2021-22 are not due for payment until 30th September 2021, so unless already paid online for 2021-22, those Playing Members who paid their 2020-21 Subscription will be eligible to attend and Vote at the 2nd AGM.

Approved TSC Non Playing Members – you will be emailed to confirm how access the CSM and validate your membership data and pay your 2021-22 Subscription so that you can participate in the AGM.

For new Non Playing Members – or those who have not previously completed a TSC Ltd paper membership form there will be an update on the TSC website setting out how to get signed up on the new CSM system and pay your membership. new item this week for details of how to activate your online membership, pay subs or join TSC Ltd. If you are unsure, please get in touch and we will confirm details with you.

Previously approved adult (Aged 18+) members of Timperley Sports Club Limited have been loaded on to the new system and are invited to log on to update and verify their account and pay their TSC Ltd Subscriptions for 2021-22. We will be contacting these Members with details of how to validate memberships already loaded on the system.

Some adult members who have paid Subscriptions in 2020-21 may still need to complete the TSC Ltd Membership Application Form and they will be invited to join the new system and set up an account and complete all the required Membership details and pay subscriptions. This applies to Adult Playing (formerly TSC Social) and Non Playing Members.

For all Under 18 members, parents (or guardians) will need to follow a specific process that required the adult to set up an account first and then add Under 18 members of TSC Ltd to their account. Again, details will be sent to Football, Hockey and Lacrosse parents (or guardians) setting out the steps to do this for the new season.
